1. Purpose

The Disclosing Party agrees to provide access to certain confidential and proprietary information for the purpose of demonstrating and discussing a white-label website system and resale opportunity (“Permitted Purpose”).

2. Definition of Confidential Information

Confidential Information includes, but is not limited to:

• Website designs and layouts

• Software systems and workflows

• White-label and resale model

• Pricing structures

• Business processes

• Client acquisition methods

• Marketing strategies

• Technical documentation

• Any materials marked or reasonably understood as confidential

Whether disclosed verbally, visually, electronically, or in writing.

3. Obligations of the Receiving Party

The Receiving Party agrees to:

• Keep all Confidential Information strictly confidential

• Not disclose the information to any third party

• Not copy, reproduce, or distribute any materials

• Not use the information for any purpose other than the Permitted Purpose

• Not attempt to reverse engineer or replicate the system

4. Exclusions

Confidential Information does not include information that:

• Is publicly available

• Was known prior to disclosure

• Is independently developed without reference to the disclosed information

• Is required to be disclosed by law (with prior written notice)

5. Ownership

All Confidential Information remains the exclusive property of the Disclosing Party.

No license or ownership rights are granted under this Agreement.

6. Term

This Agreement shall remain in effect for a period of [2 / 3 / 5] years from the Effective Date.

7. Breach and Remedies

Any unauthorised use or disclosure of Confidential Information shall constitute a material breach of this Agreement.

The Disclosing Party shall be entitled to seek:

• Injunctive relief

• Damages

• Legal costs

• Any other remedies available in law

8. Return of Materials

Upon request, the Receiving Party agrees to return or destroy all Confidential Information and materials provided.

9. No Obligation to Proceed

Nothing in this Agreement obligates either party to enter into any further agreement or business relationship.

10. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

11. Entire Agreement

This Agreement constitutes the entire agreement between the parties relating to the subject matter and supersedes all prior discussions or agreements.
